GENERAL INFORMATION TO BIDDERS
GB-1Mail or deliver bids to the Stafford County Purchasing Department, Stafford County Administration Center, 1300 Courthouse Road, Post Office Box 339, Stafford,
Virginia 22555-0339.
GB-2 All bids shall be signed in ink by authorized principals of the firm and must be received in sealed envelopes with the statement, "Bid Enclosed" and the bid number typed or written in the lower left hand corner.
GB-3Bids must be received before the bid opening time stated in the Bid Invitation.
GB-4Bids will be opened and read aloud in the Purchasing Department.
GB-5No late bids will be accepted.
GB-6Stafford County reserves the right to accept or reject, in whole or in part, any and all bids received and to waive informalities.
GB-7Any questions to the bidding procedure shall be directed to Sherry McMillan, by mail or telephone at (540) 658-8614.
GB-8Any questions relative to the technical aspects of the bid shall be directed to Sherry McMillan, Stafford County Purchasing Department, Stafford County Administration Center, 1300 Courthouse Road, Stafford, Virginia 22554.  No interpretation of the meaning of the Contract Documents will be made to any bidder orally. Every request for such interpretation must be in writing. To be given consideration, such requests must be received at least five (5) days prior to the date fixed for the receiving of the bids. Any and all such interpretations and any supplemental instructions will be returned in writing to the perspective bidder requesting such interpretations, or will be in the form of written addenda which, if issued, will be sent to all prospective bidders, at the respective addresses furnished for such purpose, not later than three (3) days prior to the date fixed for the receiving of the bids. All addenda so issued shall become part of the Contract Documents.
GB-9The bids will be in full force and effect for ninety (90) days after they have officially opened.
GB-10Each bidder must submit with the bid a certified check payable to Stafford County, for five percent (5%) of the bid total as a guarantee that the bidder will enter into a contract for these services should he be awarded the contract. In lieu of a certified check it will be sufficient that the bidder provide a corporate surety bond, issued by a company licensed to do business as a surety in Virginia, for a sum equal to five percent (5%) of the bid total.
GB-11 Prior to the award of the contract, the successful bidder shall provide an acceptable performance and payment bond in the amount of one-hundred percent (100%) of the contract value.
GB-12The successful bidder shall furnish a performance bond in the full amount of the contract price in accordance with Chapter 312, Act of General Assembly 1970, State of Virginia, Section 11-23. Contractor is required to conform to the provisions of Section 11-23, Code of Virginia, as enacted in 1970, with regards to payment bonds required of subcontractors before entering into any agreement to subcontract any part for the work to be done under this contract. The above mentioned bonds shall be furnished in triplicate.
GB-13The contractor shall maintain insurance to protect the County from claims under the Workmen's Compensation Act, and from any other claim for damages for personal
injury, including death, and for damage to property which may arise from operation under this contract, whether such operations be by the contractor or by subcontractor, or anyone directly or indirectly employed by either contractor or subcontractor, such
insurance is to conform to the amounts as prescribed by law.  The insurance requirements are as follows:  "The successful contractor assumes and agrees to hold harmless, indemnify, protect and defend Stafford County against any and all liability for injuries and damages to contractor himself and to contractor's employees, agents, subcontractors and  guests, third parties or otherwise, incident to or resulting from any and all operations performed by contractor under the terms of this contract.  In addition to any other forms of insurance or bonds required under contracts and specifications pertaining to this project, Stafford County shall require any contractor to whom or to which it lets any work contemplated hereunder to carry Public Liability Insurance in accordance with the specifications on the following exhibit and a Certificate of Insurance attesting to these
required coverages. If any of the work is sublet, similar insurance shall be obtained by or on behalf of the subcontractor to cover their operation.  The insurance specified shall be with an insurance company acceptable to the parties hereto and licensed to do business in the State of Virginia.  All insurance must be obtained before any work is commenced and kept in effect until its completion."  Minimum insurance requirements are as follows:

    A.  Workmen's Compensation.
    B.  Automotive Liability: Bodily Injury and Property Damage insurance shall have limits of $1,000,000 combined single limit.
    C. Comprehensive General Liability.
         1. Bodily Injury Liability Insurance shall have limits of $1,000,000 per occurrence.
         2.  Property Damage Liability Insurance shall have limits of $1,000,000 per occurrence.
Contractual Liability covers the following indemnity agreements:
"The contractor shall indemnify and hold harmless the owner against and from all liability, claims, damages, demands and cost, including attorney fees of every kind in nature attributable to bodily injury, sickness, disease or death or to damage or destruction of property resulting from or in any manner arising out of or in connection with the project and the performance of the work under this contract."

GB-14 Attention is called to the Code of Virginia (1950, as amended) Title 54, Chapter 7. All proposals must carry the contractor's Virginia Registration Number. The registration number shall be placed on the face of the envelope containing the bid.
GB-15The Contractor shall notify the Engineer, the Virginia Department of Transportation and the County when he plans to do work so that they may inspect the work.
GB-16All proposals shall be submitted on the forms contained herein and the unit prices shall be written herein, both in words and figures. In all items where both labor and material are required, bids shall be made separately on the same, and the total price for each item shall be the sum of the labor and material unit prices. All proposals not in conformity with this notice may be considered unresponsive and may be rejected.
GB-17Each bidder is required to state in the proposal their name and place of residence and the names of all persons interested in him; in case of a corporation, the names of other than the president and secretary need not be given. References shall be furnished to establish the skill and business standing of the bidder.
GB-18 The successful bidder shall be required to execute and submit a Statement of Disclaimer in the form attached hereto after the opening of bids and before the award of the contract. 
GB-19ACCESS TO RECORDS  The County Administrator or his duly authorized agent,
shall, until the expiration of three (3) years following the final payment on this agreement, have access to and the right to examine and copy any directly pertinent books, documents, papers and records of Lessor and Assignee involving transactions related to this agreement. Lessor and Assignee shall have the reciprocal right, until the expiration of three (3) years following final payment on this Agreement, to have access to and examine and copy any directly pertinent books, documents, papers and records of the County Administrator of Lessee involving transactions related to this Agreement. In the event of litigation involving this Agreement, rights of access, examination and copying hereunder granted to Lessor, Assignee and Lessee shall have been finally disposed of.
GB-20NONDISCRIMINATION
During the performance of this contract, the Contractor agrees as follows:
The Contractor will not discriminate against any employee or applicant for employment because of race, religion, color, sex or national origin, except where religion, sex or national origin is a bona fide occupational qualification reasonably necessary to the normal operation of the Contractor.  The Contractor agrees to post in conspicuous places, available to employees and applicants for employment, notices setting forth the provisions of this nondiscrimination clause.  Contractor shall state in all solicitations or advertisements for employees placed by or on behalf of the Contractor that Contractor is an equal opportunity employer.  Notices, advertisements and solicitations placed in accordance with federal law, rule or regulation shall be deemed sufficient compliance with this provision. Contractor shall include the provisions of the foregoing paragraphs in every subcontract or purchase order of over $25,000 so that the provisions will be binding upon each subcontractor or vendor. 
GB-21TERMINATION FOR CONVENIENCE OF THE COUNTY
  • The parties agree that the County may terminate this Contract, or any work or delivery requiredhereunder, from time to time either in whole or in part, whenever the County Administrator of Stafford County shall determine that such termination is in the best interest of the County. 
  • Termination, in whole or part, shall be effected by delivery of a Notice of Termination signed by the County Administrator or his designee, mailed or delivered to the Contractor, and specifically setting forth the effective date of termination.
  • Upon receipt of such Notice, the Contractor shall:
    • cease any further deliveries or work due under this Contract, on the date, and to the extent, which may be specified in the Notice;
    • place no further orders with any subcontractors except as may be necessary to perform that portion of this Contract not subject to the Notice;
    • terminate all subcontracts except those made with respect to contract performance not subject to the Notice;
    • settle all outstanding liabilities and claims which may arise out of such termination, with the ratification of the Purchasing Officer of Stafford County; and
    • use its best efforts to mitigate any damages which may be sustained by him as a consequence of termination under this clause.
  • After complying with the provisions above, the Contractor shall submit a termination claim, in no event later than six (6) months after the effective date of their termination, unless one or more extensions of three (3) months each are granted by the Purchasing Officer.
  • The Purchasing Officer, with the approval of the County's signature to this Contract, shall pay from the using department's budget reasonable costs of termination, including a reasonable amount for profit on supplies or services delivered or completed. In no event shall this amount be greater than the original contract price, reduced by any payments made prior to Notice of Termination, and further reduced by the price of the supplies not delivered, or the services not provided. This Contract shall be amended accordingly, and the Contractor shall be paid the agreed amount.
  • In the event that the parties cannot agree on the whole amount to be paid to the Contractor by reason of termination under this clause, the Purchasing Officer shall pay to the Contractor the amounts determined as follows, without duplicating any amounts which may have already been paid under the preceding paragraph of this clause:
1. With respect to all Contract performance prior to the effective date of Notice of Termination, the total of:
(a) Cost of work performed or supplies delivered;
(b) The cost of settling and paying any reasonable claims as above;
(c) A sum as profit on (a) determined by the Purchasing Officer to be fair and reasonable.
2. The total sum to be paid under 1. above shall not exceed the contract price, as reduced by the amount of payments otherwise made, and as further reduced by the contract price of work or supplies not terminated.
GB-22TIME OF COMPLETION
1. The Contract shall be complete on or before May 15, 1995.
2.  If the above completion date cannot be met, the contractor shall provide a written statement with the bid, justifying the reason why the completion date is unreasonable and the completion date that the project will be complete.
3.  Time is of the essence to complete this project.  The completion date will be considered in the bid evaluation process.
GB-23LIQUIDATED DAMAGES
Liquidated damages shall be assessed at one hundred dollars ($100.00) per calendar day for each calendar day the project is not completed beyond the specified completion date.
GB-24SUBCONTRACTORS
The firm shall identify all proposed subcontractors who will be furnishing services. Subcontractors shall conform, in all respects, to the applicable provisions specified for the prime contractor and shall further be subject to approval by the County.
GB-25CONTRACTOR ELIGIBILITY CERTIFICATION
Contractor eligibility certification sheet must be submitted with the formal quotation.
GB-26The contents of the bid submitted by the successful bidder and the bid specifications shall become a part of any contract awarded as a result of these specifications. The successful vendor will be expected to sign a "Standard Contract for Services" with the County. Additional terms and provisions will be included in the contract.
GB-27INFORMATION TO BIDDERS - PRE-BID SITE VISIT
Prior to submitting his bid, the contractor shall visit the sites to thoroughly familiarize himself with the existing conditions. Failure to visit the sites will not be an acceptable reason for future changes in the contract price or contract completion time. 
GB-28CONSTRUCTION SCHEDULE
At the time of bond submission, the contractor is to submit to the Engineer and the County a schedule of the construction work showing how the job will be phased.
GB-29

Faith-Based Clause:  This public body does not discriminate against faith-based organizations in accordance with the Code of Virginia Section 11-35.1 or against a bidder or offer or because of race, religion, color, sex, national origin, age, disability, or any other basis prohibited by state law relating to discrimination in employment.
